4.2 Prohibited Content

You may not upload, post, transmit, or share content that:

- Depicts or involves minors in any sexual or suggestive context
- Contains or promotes illegal activities
- Violates intellectual property rights or contains unauthorized copyrighted material
- Contains extreme violence, gore, or content intended to shock or disgust
- Promotes terrorism, hate speech, or discrimination based on race, religion, gender, sexual orientation, disability, or other protected characteristics
- Contains malware, viruses, or other harmful code
- Violates the privacy rights of others
- Constitutes spam, unsolicited advertising, or promotional material
- Facilitates or promotes prostitution, human trafficking, or other illegal services

4.3 Consequences of Violations

Violation of these prohibited activities may result in:
- Content removal
- Account suspension or termination
- Legal action and cooperation with law enforcement
- Forfeiture of account balance or earnings
- Permanent ban from the Platform


5. CONTENT OWNERSHIP AND LICENSES

5.1 Your Content

You retain ownership of all content you upload, post, or transmit on the Platform ("Your Content"). By uploading Your Content, you represent and warrant that:

- You own or have the necessary rights, licenses, and permissions to use and authorize us to use Your Content
- Your Content does not violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights
- Your Content complies with these Terms and all applicable laws

5.2 License Grant to BeSinly

By uploading Your Content to the Platform, you grant BeSinly a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform Your Content in connection with operating and providing the Platform and our business, including for purposes of promoting and redistributing part or all of the Platform.

This license includes the right to:
- Store, reproduce, and transmit Your Content
- Display Your Content to users who have subscribed or paid to access it
- Create thumbnails, previews, and promotional materials
- Distribute Your Content through our content delivery networks
- Make Your Content available on various devices and platforms

This license continues even after you stop using the Platform with respect to content that has been shared or accessed by other users, but will terminate for content that has not been shared when you delete such content or your account (subject to reasonable backup and archival practices).

5.3 Content Monitoring and Removal

We reserve the right, but not the obligation, to:
- Monitor, review, and remove content at our discretion
- Use automated systems to detect prohibited content
- Investigate reports of Terms violations
- Preserve content and account information for legal purposes

We do not pre-screen content but may remove content that violates these Terms or applicable laws.


6. INTELLECTUAL PROPERTY RIGHTS

- Reverse engineer, decompile, or disassemble the Platform
- Remove or alter any copyright, trademark, or other proprietary notices

- Frame or mirror any part of the Platform

6.3 DMCA and Copyright Complaints

We respect intellectual property rights. If you believe your copyrighted work has been infringed, please send a DMCA notice to: help@besinly.com

Your notice must include:
- Your physical or electronic signature
- Identification of the copyrighted work claimed to be infringed
- Identification of the infringing material and its location on the Platform

We will respond to valid DMCA notices in accordance with the Digital Millennium Copyright Act.

6.4 Counter-Notification

6.5 Repeat Infringer Policy

We will terminate accounts of users who repeatedly infringe copyrights.


7. SUBSCRIPTIONS, PAYMENTS, AND FEES

7.1 Subscription Services

BeSinly offers subscription-based access to content creators. By purchasing a subscription, you agree to pay the subscription fee and any applicable taxes.

7.2 Payment Terms

- All fees are in the currency specified at the time of purchase
- Subscription fees are charged on a recurring basis (monthly or as specified)
- You authorize us to charge your payment method on a recurring basis
- Failure to pay may result in suspension or termination of access
- All sales are final and non-refundable except as required by law

7.3 Tips and Additional Purchases

Users may send tips or purchase additional content beyond subscriptions. All such transactions are final and non-refundable.

7.4 Price Changes

We reserve the right to change subscription prices at any time. Price changes will apply to new subscriptions and renewals after notice is provided.

7.5 Payment Processing

Payments are processed by third-party payment processors. You agree to comply with their terms of service. We do not store your full credit card information.

7.6 Refund Policy

All payments are final and non-refundable except:

To become a content creator, you must:
- Complete the creator application process
- Provide valid identification and verify your identity
- Provide tax information (W-9, W-8BEN, or equivalent)
- Provide banking information for payouts
- Agree to additional creator terms and policies

8.2 Creator Responsibilities

As a content creator, you agree to:
- Create and upload only original content or content you have rights to use
- Comply with all applicable laws, including age verification requirements
- Not upload content depicting or involving minors
- Not engage in illegal activities
- Not mislead subscribers about the nature of your content
- Maintain appropriate records as required by 18 U.S.C. § 2257
- Pay all applicable taxes on your earnings

8.3 Earnings and Payouts

- Creators earn revenue from subscriptions, tips, and content sales
- BeSinly retains a percentage of creator earnings as a platform fee (specified in creator dashboard)

-BeSinly charges 18% platform fee when you withdraw your earnings. Keep more if you choose to leave funds on the platform.
- Payouts are processed according to the payout schedule (typically monthly)
- Minimum payout thresholds may apply
- Creators are responsible for all taxes on earnings
- BeSinly may withhold taxes as required by law

8.4 Content Creator Restrictions

Creators may not:
- Attempt to redirect subscribers to other platforms
- Share contact information to circumvent platform fees
- Engage in prostitution or escort services
- Sell or exchange login credentials
- Create content that violates these Terms

8.5 Account Termination and Withheld Funds

If your creator account is terminated for Terms violations, we reserve the right to:
- Withhold pending payouts
- Retain earnings as liquidated damages
- Pursue legal action for damages

Funds may be withheld for:
- Fraudulent activity
- Chargebacks exceeding acceptable thresholds
- Violations of payment processor terms
- Legal holds or investigations


9. PRIVACY AND DATA PROTECTION

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection, use, and disclosure of your personal information as described in the Privacy Policy.

11.2 Cap on Liability

IN NO EVENT SHALL BESINLY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO BESINLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11.4 Assumption of Risk

You acknowledge and agree that you use the Platform at your own risk. You are solely responsible for any damage to your device or loss of data resulting from use of the Platform.


12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BeSinly, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind (including reasonable attorneys' fees) arising from or relating to:

- Your use or misuse of the Platform
- Your breach of these Terms
- Your Content or your violation of any third-party rights
- Your violation of any applicable law or regulation
- Your negligence or willful misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us in asserting any available defenses.


13. DISPUTE RESOLUTION AND ARBITRATION

Before filing a claim, you agree to contact us at help@besinly.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good faith negotiations for at least 30 days.

13.2 Binding Arbitration

If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration rather than in court, except that:

- You may assert claims in small claims court if they qualify
- Either party may seek equitable relief in court for infringement or misuse of intellectual property rights

The arbitration will be conducted by a neutral arbitrator in accordance with applicable arbitration rules. The arbitrator's decision will be final and binding.

13.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND BESINLY INDIVIDUALLY. TO THE FULLEST EXTENT PERMITTED BY LAW:

- Fraudulent or illegal activity
- Harm to other users or the Platform
- Inactivity
- Any reason at our sole discretion

14.3 Effect of Termination

Upon termination:
- All licenses and rights granted to you under these Terms immediately cease
- You remain liable for all obligations incurred prior to termination
- Provisions that by their nature should survive termination shall survive (including disclaimers, limitations of liability, indemnification)

14.4 Creator Account Termination

If you are a content creator and your account is terminated:
- Your profile and content will be removed
- Pending payouts may be withheld for investigation period (typically 90-180 days)
- Subscribers will no longer have access to your content
- We may retain funds as liquidated damages if termination was due to Terms violations


15. DMCA COMPLIANCE AND COPYRIGHT POLICY

15.1 Reporting Copyright Infringement

If you believe content on BeSinly infringes your copyright, send a DMCA takedown notice to: help@besinly.com

Include:
- Identification of the copyrighted work
- Identification of the infringing material and its URL
- Your contact information
- A good faith belief statement
- An accuracy statement
- Your physical or electronic signature

15.2 Content Creator Obligations

Creators must:
- Only upload content they own or have rights to use
- Maintain records proving ownership or authorization
- Not infringe third-party copyrights
- Respond to DMCA counter-notices if applicable

15.3 Repeat Infringer Policy

Accounts with multiple substantiated copyright violations will be permanently terminated.


16. ADULT CONTENT AND CONTENT STANDARDS
